Code of Conduct

Fiskars' objective is to pursue long-term profitable business in an ethical and responsible manner. It is the policy of Fiskars to be a good corporate citizen. Fiskars believes that its excellent reputation contributes to business success.

This Code of Conduct defines the way of operating for all Fiskars employees, including directors and officers without exception. It is complemented as needed by more detailed rules and guidelines approved by the CEO. This Code of Conduct shall be complied with by all companies belonging to Fiskars Corporation and shall be supplemented by local laws and regulations in case they impose stricter rules. All company rules, guidelines and practices in Fiskars companies have to be in full compliance with this Code of Conduct.

1. Compliance with laws and regulations

Fiskars is committed to full compliance with all applicable laws and regulations of relevant countries. These include, among others, laws and regulations related to securities markets, such as insider regulation, corporate governance, taxation, fair competition, product safety, intellectual property as well as employee rights. In the event that the applicable law or regulation conflicts with the principles of this Code of Conduct, the law or regulation shall prevail.

Fiskars wants to be a good corporate citizen in each jurisdiction wherein it operates. Fiskars values transparency and business integrity and recognizes that economic, environmental and social performance together form the basis for endorsing sustainability in business operations.

As a listed company Fiskars is committed to compliance with its obligations under the rules of the NASDAQ OMX Helsinki Ltd. and the Finnish Financial Supervision Authority as well as other applicable rules in Finland.

2. Human rights

Fiskars supports and respects the protection of internationally proclaimed human rights as defined in the United Nation's Universal Declaration of Human Rights. Among those rights which Fiskars views as fundamental and universal are: freedom of thought, opinion, expression, religion and to peaceful assembly as well as freedom from any discrimination based on race, age, nationality, gender or sexual orientation.

Fiskars will not tolerate working conditions or treatment that are in conflict with laws and practices of relevant countries.

3. Business conduct

Fiskars employees and directors are expected to promote the interest of Fiskars and in doing so act responsibly and in the best interest of the company.

Consequently, Fiskars employees must avoid situations where their personal interests may conflict with those of Fiskars. The establishment of business relationships must be based on objective criteria. Therefore, the employees or directors must not offer, make, seek or accept such gifts, payments or services to or from actual or potential business partners, which might reasonably be believed to influence business transactions and which exceed normal standards of hospitality. Fiskars and its employees will not give or offer to give bribes or illicit payments to any third parties, such as public officials or business partners, in order to obtain or retain business.

Fiskars employees must not profit or assist others to profit from opportunities that are discovered through the use of corporate information or position. Fiskars employees must not use corporate assets for other than legitimate business or other authorized purposes.

Fiskars employees must not compete with the company.

4. Environment

Fiskars strives to ensure that its products, services and production contribute to sustainable development.

Fiskars is committed to responsible actions and takes environmental aspects into account when making business decisions. Fiskars strives to develop consumer products that are environmentally advanced and fulfill the customer's requirements as well as reduce environmental effects during product life cycles.

5. Human resources practices

Fiskars supports basic labor rights as stated by the International Labor Organization.

All employees with managerial duties are required to actively and purposefully promote culture that is in accordance with Fiskars' values and the Code of Conduct.

Fiskars strives to provide a safe and inspiring working environment to all employees. All employees are required to conduct their duties without endangering work safety. The Company encourages its employees to engage in their own personal and professional development and growth. Fiskars is committed to equal opportunity in all employment practices, policies and rules as well as to treating all employees fairly and impartially.

6. Customer and supplier relations

The success of Fiskars' customers is key to its own success. Fiskars operates worldwide with a long-term commitment to its customers in order to be able to continuously meet and exceed their expectations. It is the aim of Fiskars to be the preferred supplier to current and new customers. Fiskars shall exercise fairness in all relationships with its business partners.

Suppliers are an integral part of Fiskars' total supply chain. The suppliers are chosen with care and on the basis of objective factors such as quality, reliability, delivery and price. Suppliers are expected to conduct their business in compliance with international human rights and environmental laws and practices. Further, in their actions and operations suppliers are expected to follow national laws of the countries they operate in.

7. Ipr and other intangible assets

Fiskars respects trade secrets as well as intellectual property rights and engages in transferring technology and know-how in a manner that protects these rights. Fiskars safeguards and defends its trade secrets and intellectual property, also including information that suppliers, customers or other partners have entrusted Fiskars.

8. Implementation and compliance

All Fiskars employees, directors and officers must comply with this Code of Conduct and are encouraged to contact supervisors, managers or the Corporate Compliance Officer when in doubt about the best course of action in a particular situation.

The Manager for Internal Audit acts as the Corporate Compliance Officer for this Code.

This Code of Conduct has been approved by the Fiskars Board of Directors on October 30, 2008.
